Terms of Service

Frank is an analysis tool that evaluates the clarity and messaging effectiveness of websites, landing pages, and marketing documents. You submit a URL or upload a document; Frank returns an automated analysis including scores, feedback, and recommendations.

You must provide accurate information when creating an account (name, email address, company, and password, or sign-in via Google). By creating an account you affirmatively accept these Terms and the Privacy Policy (indicated at signup). You are responsible for maintaining the security of your account credentials and for all activity under your account. You must be at least 18 years old to use the Service. The Service is intended for business use.

We offer free and paid subscription plans. Current pricing, scan allowances, and plan features are described on our pricing page at frankwith.me and are incorporated into these Terms by reference.

Scan allowances reset each billing cycle and do not roll over unless otherwise stated on the pricing page.

We may change pricing or plan features; changes take effect at your next billing cycle and will be reflected on the pricing page.

We use technical measures (including email address normalization) to prevent abuse of free plan limits. Creating multiple accounts to obtain additional free usage is prohibited.

Payments are processed by Stripe. We do not store your card details.

Subscriptions renew automatically each month until canceled. We will provide at least thirty (30) days' notice before any material change to subscription pricing or renewal terms takes effect; continued renewal after such notice constitutes acceptance.

You may cancel at any time. Upon cancellation, your subscription remains active through the end of the period you have already paid for, then does not renew.

All payments are non-refundable. We do not provide refunds or credits for partial billing periods, unused scans, or downgrades. Any exception is at our sole discretion.

You must have the right to scan what you submit. By submitting a URL or uploading a document, you represent and warrant that you own the content or are authorized to request its analysis, and that your submission does not violate any law or third-party right.

You retain all ownership of content you submit. You grant us a limited license to process, analyze, and store the results of that processing solely to provide the Service to you.

Analysis results are generated for your use. You may use, share, and reproduce your own scan results freely.

You agree not to:

• (a) submit URLs or documents you have no right to analyze;
• (b) attempt to probe, disrupt, overload, or reverse-engineer the Service;
• (c) circumvent scan limits, rate limits, or free-plan restrictions;
• (d) use the Service to develop a competing product;
• (e) submit content that is unlawful or infringing; or
• (f) resell or provide the Service to third parties without our written consent.

Frank's analyses, scores, and recommendations are generated by automated systems. They are provided for informational purposes only and do not constitute professional marketing, legal, or business advice. Analyses may contain errors or inaccuracies. You are solely responsible for decisions made based on the Service's output. Scores are opinions of an automated system, not statements of fact about any business.

Scanning a third-party URL does not imply any affiliation with, or endorsement by, the owner of that website. Analysis of third-party pages is provided to you for competitive research and informational purposes; you are responsible for your use of it.

The Service, including its software, design, branding, scoring methodology, and report formats, is owned by YDSTK LLC and protected by law. These Terms grant you no rights to our intellectual property except the limited right to use the Service.

By you. You may delete your account at any time in settings. Deleting your account cancels any active subscription and stops future billing; no refunds are issued for the current billing period (see Section 4), and access ends at deletion.

By us. We may issue warnings, suspend, or terminate accounts for conduct including, but not limited to: violation of these Terms or platform rules; submitting content you have no right to analyze; violation of any third-party right; abuse of free-plan limits or technical circumvention of quotas or rate limits; unlawful use of the Service; or nonpayment. Depending on severity, enforcement may proceed from warning to suspension to termination, or may result in immediate termination without prior warning.

Upon termination, your right to use the Service ends; Sections 7, 9, 11, 12, and 13 survive.

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that analyses will be accurate or complete.

To the maximum extent permitted by law, YDSTK LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill. Our total liability for any claim arising from the Service shall not exceed the amounts you paid us in the twelve (12) months before the claim arose.

Without limiting the foregoing, we are not liable for damages resulting from unauthorized access to or alteration of your data by third parties, including security breaches, hacking, or other malicious acts, except where caused by our gross negligence or willful misconduct.

The limitations in this Section apply to YDSTK LLC and its officers, directors, employees, and agents.

You agree to indemnify and hold harmless YDSTK LLC and its officers, directors, employees, and agents from claims arising out of: (a) content you submit for analysis, including claims that you lacked the right to submit it; (b) your use of analysis results; (c) your violation of these Terms; or (d) your violation of any third-party right, including without limitation any copyright, property, or privacy right.

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles.

Arbitration. Any dispute arising out of or relating to these Terms or the Service shall be resolved by binding individual arbitration in Florida, rather than in court, except that: (a) either party may bring a qualifying claim in small claims court; and (b) either party may seek injunctive or other equitable relief in a court of competent jurisdiction to protect intellectual property or confidential information. Class arbitrations and class actions are not permitted.

Attorneys' fees. In any arbitration or permitted court proceeding arising out of these Terms, the prevailing party shall be entitled to recover its reasonable attorneys' fees and costs.

If you use the Service on behalf of a company, we may feature that company's name and logo in our marketing materials (for example, a "used by teams at" display). If your logo is featured and you'd like it removed, email hello@frankwith.me and we'll take it down promptly.

By creating an account, you agree that we may send you service and transactional communications, and marketing communications about the Service, including, but not limited to, product updates, product launches, feature upgrades, and offers. You may opt out of marketing communications at any time via the unsubscribe link or by contacting us; service communications (billing, security, account notices) are not optional while you hold an account.

We may update these Terms from time to time. We will post the updated Terms with a new effective date and, for material changes, notify you by email or in-app notice. Continued use after changes take effect constitutes acceptance.
